These documents are completed at the same time as the IN01 (CA1985 -Form 10 and Form 12) when the company is formed.
Default wording is provided within IRIS for use when private general commercial companies limited by shares are being incorporated. The wording may not be suitable for all companies being incorporated and it may be advisable to seek advice from a solicitor.
The Memorandum and Articles of Association include the company number, company name, where the company is to be registered in i.e. England and Wales, and subscriber details.
The IRIS wording is automatically applied to each company added to Company Formations. However the wording can be altered in two ways:
edit the details for the selected client only by going to Edit | Memorandum and Articles which displays individual data screens for each clause and article. Clauses and articles can be removed, added or adjusted by typing into the Text fields.
apply an alternative template of wording by going to Edit | Apply Default Values and selecting the template required for use with this client.
To add or amend default values, go to Setup | Memorandum and Articles Defaults. Select from Standard or User Defaults, click OK. The data screens appears where the wording can be altered and saved for future use.
Once the company has been setup in Company Formations, the Memorandum and Articles of Association can be generated from Reports | Memorandum and Articles. Specify which documents to print by choosing to include front sheets, memorandum and/or articles. Also specify whether to print the:
