If charged property ceases to be charged or belong to the company, as with partly or fully paid-off charges, the company need not inform Companies House that its property has been released from a charge or that the property no longer belongs to the company. However, it is obviously in the company's interests that potential investors and lenders should know. A director or secretary of the company may therefore make a statutory declaration on Form MG04 before a Commissioner for Oaths or equivalent, and send it to Companies House.
The company name and full name are required, followed by the date and description of the charge and the registration date and names and addresses of all charge(s) or trustee(s) for the debenture holders.
The short particulars of the property are required as well as identifying
whether the charge refers to part of the whole of the property and whether
the property had been released from the charge, ceased to form part of
the company’s property or has been both released from the charge and ceased
to form part of the company’s property.
Go to Edit | Mortgages and Charges, highlight relevant mortgage/charge and click Edit.
Enter a date for the discharge of the mortgage or charge. Having saved
this information the option of a release or cessation is given, together
with a selection for the person signing the form.
Click Yes when asked to Log the particulars of this event.
Once activated, the form can be displayed by going to Reports | Company Forms, highlight form MG04 and click Print Form and OK.
