Form 123 - Notice of Increase in Nominal Capital

This form should be completed if there has been an increase in the nominal share capital in the business.

The company registered number and the full business name should be entered in the top boxes on this form.

The rest of the form should be filled out with the date the that share capital was increased, the amount it has been increased by and what the original amount of share capital was. Beneath this is a place for freeform notes regarding any conditions of the new share capital, for example, voting rights, dividend rights etc.


To Activate the Form

There are two ways to activate this form:

Method 1:

Go to Edit | Share Register, select Share Types tab. Click New, enter the relevant details of the new share issue, once complete click Insert. A Change of Authorised Capital screen appears requiring an effective date of change, date of passing resolution and any conditions of issue. These details are necessary for completing the Form 123. Complete the details and click Log.

Method 2:

Go to Edit | Share Register, select Share Types tab. Highlight an already created share type and click View. Increase the authorised number of shares and click Update. A Change of Authorised Capital screen appears requiring an effective date of change, date of passing resolution and any conditions of issue. These details are necessary for completing the Form 123. Complete the details and click Log.

To Display the Form

To display a form with basic details go to Reports | Forms with Basic Details | Form 123 - Notice of Increase in Nominal Capital. The form will open in Word showing the basic details which are the company name, the registered number and the Companies House contact details.

To display a blank form go to Reports | Blank Forms | Form 123 - Notice of Increase in Nominal Capital. This will open the completely blank form into Word.
